The Senior Manager Contributes to the overall success of the Strategic Transactions team, which is responsible for the execution of the Bank’s acquisition and divestiture activity. The position is based in Toronto, but has global scope. The Strategic Transactions team works with the respective business lines to execute and deliver on corporate development plans, strategies and objectives.

 

ACCOUNTABILITIES

  • The Senior Manager, Strategic Transactions & Review, provides key support to Directors, VPs and SVP on a variety of acquisition, divestiture and partnership transactions. The position requires the incumbent to work on transactions from idea generation to closing, including:
    • Preparing strategic and / or financial analysis (including returns analysis, benchmarking, assessing
    • financial impact on P&L and capital, etc.)
    • Developing presentations for Executive discussion
    • Building and maintaining detailed financial models
    • Conducting detailed due diligence and analysis
    • Preparing summaries of financial analysis and diligence findings
    • The position requires working closely with functions and product groups across the Bank. Senior Manager is responsible for collecting, analyzing and preparing confidential information memorandums (CIMs), datarooms, and due diligence responses for sale processes
  • Supports the deal team in its work with the various Bank stakeholders, including the Business Lines (e.g. retail, commercial, wealth, international, etc.), Executive Office and functional areas (HR, Legal, Risk, Finance, Tax, insurance, Accounting Policy, Compliance, Integrations, Communications, etc.). In addition, the position requires working with external parties (such as legal, investment banking, consulting firms, etc.)
  • Requires experience with M&A transactions and valuation work. In addition, the candidate must demonstrate a willingness to learn.
  • Understand how the Bank’s risk appetite and risk culture should be considered in day-to-day activities and decisions.
  • Actively pursues effective and efficient operations of his/her respective areas, while ensuring the adequacy, adherence to and effectiveness of day-to-day business controls to meet obligations with respect to operational risk, regulatory compliance risk, AML/ATF risk and conduct risk, including but not limited to responsibilities under the Operational Risk Management Framework, Regulatory Compliance Risk Management Framework, AML/ATF Global Handbook and the Guidelines for Business Conduct.

EDUCATION, SKILLS & EXPERIENCE REQUIRED

  • An undergraduate or post graduate degree in business, finance, accounting, or economics.
  • Professional designation (CPA, CFA, MBA, or LLB) is a strong asset.
  • 3 – 6 years of experience in M&A, financial modeling, valuation, consulting, or other relevant experience
  • Fluency in Spanish is not required but considered an asset.
