The Senior Counsel will contribute to the overall success of the Legal Department in Canada by ensuring specific goals are executed and delivered in support of the Bank’s business strategies and objectives. The incumbent will be responsible for the provision and coordination of legal services and advice to the Bank and its subsidiaries across a broad range of capital markets–related matters and specialized areas of law. The role ensures all activities are conducted in compliance with governing regulations, internal policies, and procedures.

 

Is this role right for you? In this role, you will:

  • Champion a customer‑focused culture to deepen client relationships and leverage broader Bank relationships, systems, and knowledge.
  • Provide legal analysis, drafting, negotiation, review, research, and advisory support to the Global Banking and Markets (GBM) business, including matters related to capital markets products, and commodities.
  • Advise on a wide range of transactional and regulatory matters, collaborating closely with business partners to support new initiatives, product development, and ongoing business activities.
  • Engage, instruct, manage, and review the work of external counsel, ensuring quality, value, and alignment with business objectives.
  • Research complex legal issues at the national and regional level, including proposed federal and provincial legislation, assess potential impacts on the Bank, and provide clear, pragmatic advice to management.
  • Proactively monitor and advise on new, proposed, and amended legislation, regulatory guidance, and industry best practices, recommending changes to policies, processes, controls, and documentation as appropriate.
  • Develop, maintain, and contribute to legal precedents, templates, and playbooks for use within the Legal Department and by business partners.
  • Understand and integrate the Bank’s risk appetite and risk culture into day‑to‑day advice and decision‑making.
  • Actively pursue effective and efficient operations in alignment with the Bank’s Values, Code of Conduct, and Global Sales Principles, including ensuring appropriate controls related to operational, compliance, AML/ATF, sanctions, and conduct risk.
  • Champion a high‑performance and inclusive work environment and contribute positively to team culture and collaboration.

 

Do you have the skills that will enable you to succeed? We’d love to work with you if you have:

  • A law degree from a recognized law school.
  • 8–10 years of relevant experience, gained in‑house and/or in private practice, ideally within capital markets, financial services, or a related transactional practice.
  • Membership in good standing with a Canadian Law Society.
  • Strong analytical, problem‑solving, interpersonal, and communication skills.
  • Advanced drafting and written communication abilities.
  • Proven ability to manage multiple priorities in a fast‑paced, evolving environment.
  • Experience working collaboratively with business partners and cross‑functional stakeholders.
