The Manager, Bank Governance is responsible for supporting the Corporate Secretary’s and Corporate Governance Office to ensure appropriate compliance with the relevant acts, governance policies, corporate policies and procedures and other obligations as they relate to the execution of responsibilities of the Corporate Governance Office. This role supports and executes the Bank’s Chief Corporate Governance Officer duties which include: ensuring compliance with regulatory requirements, researching and advising on corporate governance developments, trends and best practices and advising on management committee governance.
 

Is this role right for you? In this role, you will:

1. Business Strategy:

  • Provide research and analysis on corporate governance matters relevant to the Bank’s corporate governance strategy, framework and policies/practices.

  • Provide research and analysis on matters relevant to the Bank’s annual meeting of shareholders, shareholder engagement, board of directors and executive management as they pertain to the Corporate Governance Office’s mandate.

  • Support the drafting and review of the Bank’s management proxy circular and related meeting materials, and support the organization of the Bank’s annual meeting of shareholders 

  • Support the drafting and review of the Bank’s other public disclosure documents to support the legal group, as well as ESG reports and documents to support the ESG group

2. Business Plan Execution / Business Growth

  • Research and development of corporate governance policies and related documents that are submitted to the Bank’s Board of Directors for review and approval.

  • Research of global practices and developments as they pertain to corporate governance. 

  • Ensuring that legal requirements are met in establishing the Bank’s corporate governance framework.

  • Ensuring that the Bank’s corporate governance framework not only meets statutory requirements but maintains a culture of strong and transparent accountability.   

3. Operational Management and Improvement

  • Regulatory Awareness

    • Awareness of significant regulatory, legal and industry developments and emerging regulatory trends relating to corporate governance which affect the Bank.

    • Policies, Procedures and Systems Development

    • Development and implementation of corporate governance policies, procedures, manuals and systems in order to provide reasonable assurance of compliance with applicable regulatory requirements.

    • Management Committees

    • Managing the Bank’s repository of management committee information, establishing reporting protocols and controls for the communication and escalation of information, as well as the establishment of validation systems for information.

    • Development and maintenance of precedents for use by management committees globally

 

4. Relationship Management

  •  Work closely with the Senior Legal Counsel, Bank Governance to address queries from OSFI and other regulators on corporate governance matters affecting the Bank. 

 

Do you have the skills that will enable you to succeed? We’d love to work with you if you have:

  • 2-3+ years of experience in governance related functions

  • JD or LLB from a recognized law school would be an asset

  • Knowledge Areas:

    • Knowledgeable about banking, and have a general knowledge of regulatory requirements in Canada applicable to the Bank; 

    • Knowledgeable about corporate governance for a financial institution or large, publicly traded institution in Canada;

    • Knowledgeable about ethical standards / best practices applicable to Scotiabank’s activities;

    • Knowledgeable about the business activities and legal organizational structure of Scotiabank;

    • Knowledgeable about the organization of Scotiabank, including the control functions;

  • Abilities: 

    • Able to work in a high volume and demanding professional environment with a capacity to prioritise competing demands and achieve results with a focused approach;

    • Able to assess difficult corporate governance issues, exercise sound judgement expeditiously with respect to such issues; 

    •  Experienced in addressing complex matters with poise and diplomacy; 

    • Able to effectively work with business and control function personnel across many business units in order to implement appropriate corporate governance initiatives;

    • Able to communicate effectively verbally and in writing at all levels; and 

    • Able to build and maintain a significant internal and external network of contacts to advance the Bank’s reputation with respect to corporate governance. 

  • Skills:

    • Strong communication skills – both oral and written, including presentation and meeting skills.

    • Influencing capabilities when interacting with business lines, control functions, individuals, groups and external stakeholders.

    • Results focus, striving for constant improvements and to continuously refine what can be achieved.

    • Ability to build and leverage relationships
