Purpose

The Director Governance is a member of the senior management team of Global Wealth Management Finance. The Director leads the GWM Finance Compliance Oversight and Governance Program with respect to internal controls, SOX, and other regulatory initiatives. The role assumes close collaboration with GWM Finance teams, Wealth business lines, GWM Technology and Operations Teams to ensure compliance with SOX, internal and external audit requirements, and regulatory action plans are effectively documented, aligned with evolving business needs, and successfully implemented.

The incumbent is also responsible for working together with the CWM Finance teams on MD Financial related matters such as financial and MIS reporting, and other various initiatives. This role is responsible for overseeing the financial and regulatory reporting for MD Financial Management and MD Life Insurance Company, including review of and/or presentation of materials to boards of directors.

 

Is this role right for you? In this role you will:

  1. Lead the GWM Compliance and Governance oversight program ensuring compliance with SOX, internal policies and procedures and other bank wide regulatory initiatives (RRTOM, RSCA, etc.) and managing action plans identified through annual audits.
    • As a key member of the GWM Finance Management Team, the Director will serve as counsel to the SVP & CFO and the VPs/Directors on all finance-related Governance matters and ensure all finance obligations are fulfilled on a consistent basis.
    • Overall key point of contact for SOX, audit and compliance related initiatives for GWM Finance
    • Lead the overall finance governance program ensuring SOX process documentation and risk control matrices are updated on an ongoing basis and meet the standard provided by the SOX office
    • Co-ordinate the annual sox audit engaging all business stakeholders to update documentation, RCMs, flow charts, hand off process in advance of the annual SOX audit.
    • Engage with business stakeholders to address any audit findings and draft management action plans.
    • Monitor progress towards completion of action items to address any audit deficiencies.
    • Ensure expectations including accountabilities, objectives and goals are effectively negotiated, communicated and monitored.
  1. Own and maintain the relationship with internal and external auditors
    • Co-ordinate the internal and external audit engagements across all business lines within Global Wealth Management.
    • Engage with business stakeholders to address any audit findings and draft management action plans.
    • Monitor progress towards completion of action items to address any audit deficiencies.
  1. Oversee ongoing support for MD finance related activities, such as,
    • Oversee financial reporting and MIS reporting activities for MD Financial including performance metrics, compensation calculations, and ad hoc business line requests.
    • Coordinate the Legal Entity Level planning and projections for approval and reporting to board of directors.
    • Lead and review the production of the MD quarterly branch reporting, ensuring that reporting is robust and feedback from senior leaders is incorporated into the reporting with improvements on a continuous basis. 
    • Provide finance support for Medicus, including planning and forecasting and analyzing actual results to plan and provide general business support. 
  1. Direct, supervise and review the production of the quarterly and annual regulatory reports for MD Life and MDFM, ensuring that financial reports are prepared in accordance with IFRS and regulatory requirements.
  2. Provides strong leadership to motivate individual and team performance and contributes to the effective functioning of the team by:
    • Communicating the Bank and Finance Department’s strategic direction to the team.
    • Negotiating and effectively communicating individual and team goals and objectives.
    • Recognizing subordinate/team development needs and taking an active role in addressing gaps

Facilitating a culture of open and honest communication; encouraging the generation of new ideas and approaches.

 

Do you have the skills that will enable you to succeed in this role? We'd love to work with you if you have:

  • A University degree and an accounting designation (CPA, CA, CMA, CGA) with solid working experience in the financial management field.
  • A good understanding of Wealth Management operations and business activities
  • Sound knowledge of IFRS standards and accounting policies & procedures
  • Advance knowledge of Regulatory & Legal Entity Financial Statements.
  • Excellent interpersonal skills and experience working effectively with Business Leadership
  • Strong management and leaderships skills and high degree of flexibility and creativity to deal effectively in a rapidly changing and complex business environment
  • Ability to influence managers at different levels
  • Strong financial analysis, control and reporting experience
  • Strong conceptual, analytical, problem solving and organizational skills
