Purpose: 
The Transaction Advisory Group (TAG) provides structuring and execution expertise across multiple products including asset-backed securities, residential and commercial mortgage-backed securities, collateralized loan obligations, and other securitized and warehouse financing products. This role will focus on structured products, asset-backed lending, and fund finance with crossover support across the full structured credit spectrum and capital markets.

TAG works closely with Fixed Income Origination & Syndicate, Corporate & Investment Banking, Risk, Legal, Compliance, and the Underwriting Committee to structure transactions, pitch and advise clients, perform due diligence, negotiate and review documentation, obtain requisite internal approvals, and ensure seamless transaction execution from mandate to closing. There is significant client interaction involved working on live transactions and ensuring high quality, successful deal execution.

Successful candidate has 10+years legal and/or capital markets transactional experience. Bank in-house, Spanish proficiency, or credit background a plus. Juris Doctorate required. Roll-up sleeve attitude, sound judgment, with strong ability to prioritize, analyze, communicate, and work on a team required.

What You’ll Do 

  • Support Fixed Income Origination and Syndicate teams: 
    • Structure transactions
    • Assist with new business solicitations
    • Prepare marketing material for use in client meetings
    • Field Sales, issuer/borrower client, and investor questions
  • Play integral role in transaction execution 
    • Due diligence 
    • Lead all stages of documentation negotiation and review 
    • Work closing with clients and external counsel
    • Work with Syndicate and Operations teams to price and settle transactions
  • Policy development and internal education
  • Develop extensive network of internal and external industry contacts 
  • Deal documentation management
  • Work as part of a team to maximize business opportunities and provide financial solutions to our
    commercial, corporate and institutional client base 


What You’ll Bring 

  • Demonstrates sound knowledge of credit finance/lending and securities law, with experience in Structured Credit finance, fund finance, asset-backed lending, TRS and other credit derivatives, ABS, RMBS, CMBS, and/or CLOs preferred 
  • Juris Doctorate Degree with law firm or bank in-house experience strongly preferred
  • 10+ years legal or banking experience 
  • Requires computer (Word, Excel, PowerPoint) proficiencies as well as excellent written and oral communication skills
  • Experience in credit analysis and familiarity with legal document review required
  • A high level of commitment and a strong sense of teamwork are needed to succeed in the role
  • Roll-up sleeve attitude to support the team and internal stakeholders in new business builds and help where needed
  • Ability to prioritize, make timely and sound judgments, and succinctly communicate with senior management
  • Effectively liaises with key internal and external stakeholders and other industry participants
