The Liability Management Group focuses on originating and executing Liability Management transactions including debt tender offers, debt exchange offers, consent solicitations, and distressed restructurings.  The group focuses on all issuer types (U.S. Corporate, US HY, EM, FIG, SSA, et.) across the credit spectrum.  The Director is a highly technical role.  The individual will be responsible for developing, pitching and executing bespoke solutions for the BNS client base. 


Key Accountability:


  • Direct client responsibility in advising, structuring and executing LM transactions on behalf of Scotia’s global issuer clients
  • Strong understanding of the legal, regulatory, accounting and tax implications of potential transactions – and advise clients appropriately
  • Responsibility for the structuring, marketing and execution of originated transactions
  • Additional responsibilities will include managing junior resources, strategic planning and capacity building, as well as carrying out specific projects
  • Work in conjunction with the DCM, Derivatives, and Syndicate teams, as well as the local country Corporate Banking teams
  • Understand, follow and demonstrate compliance with all relevant internal and external rules, regulations and procedures that apply to the conduct of the business
  • Develop new ideas/products/solutions for clients, including research of relevant regulatory, accounting, tax, rating agency and market developments
  • Ability to adapt to a constantly evolving business and market environment, constantly generating strategic advice for issuer clients as markets change


Education & Experience:


  • Education Requirements: Bachelor Degree in Accounting, Finance, or related subject.  MBA or equivalent degree preferred.
  • Experience: 10+ years in Liability Management or related field
  • Required FINRA licenses, series 7, 63 and 79; will be required to obtain relevant FINRA licenses within a reasonable amount of time after joining the group if not current held
  • Advanced experience with MS Excel, PowerPoint Word, and Bloomberg
  • Strong attention to detail and ability to work independently
  • Broad knowledge of Debt Capital Markets and Liability Management
  • Ability to prioritize work and multi-task with multiple projects
