Contributes to the overall success of the Legal Department in the United States by providing legal support on a broad range of matters across multiple businesses and operations of the Bank’s U.S. Global Banking & Markets (“GBM”) business, with a primary focus on corporate banking, global business payments and M&A.  


  • Draft, negotiate and advise on a wide range of corporate banking agreements such as guaranties, reimbursement agreements, letter of credit facilities and non-disclosure agreements.
  • Review and advise on mergers and acquisition engagement letters and other transaction documents.
  • Partner with the GBM business to build robust processes for managing legal risk. 
  • Provide legal assistance in helping the bank roll out key strategic projects.
  • Operate in a fast-paced, demanding environment and pivot quickly to meet leadership’s needs.
  • Recognize priority initiatives and effectively manage clients, scaling the legal advice and providing the right level of guidance for the request at hand.
  • Ensure product compliance with applicable U.S. and international laws and regulations, in close collaboration with colleagues in U.S. Legal and Compliance departments.
  • Analyze legal and regulatory issues in area of practice and provide effective advice to clients on complex legal matters.
  • Respond promptly to deal-related issues, including legal and reputational risk questions.
  • Identify and manage relevant banking and securities regulations.
  • Advise on legal risks of existing and new business activities.
  • Liaise with the internal businesses and operational personnel (i.e., credit, compliance, operations, treasury, tax, etc.).
  • Maintain efficient and effective relationships with outside counsel.
  • Manage legal costs and invoices.
  • Ensure compliance, operational risk controls following Scotiabank’s or regulatory standards and policies, including but not limited to upholding Scotiabank’s code of ethics and business conduct.
  • Conduct legal research as necessary to support the needs and activities of the U.S. Legal Department.
  • Develop competency in unfamiliar practice areas as necessary.

Education / Experience 

  • U.S. Licensed Attorney
  • Experience in corporate banking and/or mergers and acquisitions.
  • Minimum of 7 years of legal experience working on banking matters at a major investment bank and/or large law firm.
